The complete agreement covering your account, the scanner, the marketplace, telehealth access, and challenges.

These Terms and Conditions (these "Terms") are a binding agreement between you and OnPoint BioHealth ("OnPoint BioHealth," "we," "us," or "our") governing your access to and use of our website, mobile application, body-composition scanning services, member marketplace, workplace wellness programs, and related services (collectively, the "Services"). By creating an account or using any part of the Services, you accept these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate account information and to keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe present a security risk.
The Services provide general wellness tools: body-composition scanning, personal results and trends, scoring, optional challenges, nutrition guidance, a member Marketplace, and access to third-party telehealth programs. The Services provide general wellness information only and do not constitute medical advice, diagnosis, or treatment. Body-composition measurements and derived scores are informational estimates and may be affected by hydration, recent meals, exercise, and other factors. No physician-patient relationship is created between you and OnPoint BioHealth by your use of the Services. Always consult a qualified healthcare provider before beginning a diet, exercise, or supplement program or making decisions about your health, and never disregard professional medical advice because of something you read or received through the Services. If you are experiencing a medical emergency, call 911.
If you access the Services through a Program Sponsor, your participation is voluntary. Program features, duration, and any rewards are determined in part by your Program Sponsor's agreement with us. Program Sponsors receive only aggregate, de-identified reporting as described in our Privacy Policy; they do not receive your individual results. If your relationship with your Program Sponsor ends, your access to sponsor-funded features may end, and we may retain or transition your personal account as described in the Privacy Policy.
Scanning is performed on third-party InBody devices placed at Program Sponsor or partner locations. You agree to follow posted instructions and any safety guidance when using a device. Individuals with implanted electronic medical devices, such as pacemakers or defibrillators, should not use bioelectrical impedance devices; consult the device manufacturer's guidance and your physician. Scanning is not recommended during pregnancy except with your clinician's approval. You use scanning equipment at your own risk to the extent permitted by law.
Pricing and availability. Prices, member pricing, and availability are displayed before checkout and may change at any time prior to order confirmation. Errors in pricing or descriptions may be corrected, and affected orders may be canceled and refunded, at our discretion.
Orders and fulfillment. Marketplace products are supplied, packed, and shipped by the applicable Brand Partner. Your order is an offer to purchase; a contract forms when the order ships. Title and risk of loss pass to you upon delivery to the carrier. Estimated delivery times are estimates only.
Returns and issues. If an order arrives damaged, defective, or incorrect, contact us within 30 days of delivery and we will replace the item or refund the purchase. Because supplements are ingestible goods, opened products are otherwise not returnable except as required by law.
Supplements. Products sold through the Marketplace are dietary supplements unless otherwise stated. *These statements have not been evaluated by the Food and Drug Administration; these products are not intended to diagnose, treat, cure, or prevent any disease. Read all labels and warnings before use, and consult a qualified healthcare provider before use if you are pregnant or nursing, have a medical condition, or take medication.
Subscriptions. Recurring purchases are governed additionally by our Subscription Policy, which is incorporated into these Terms.
Telehealth programs available through the Services are provided by independent, licensed healthcare providers and licensed pharmacies who are solely responsible for all clinical services, prescribing decisions, and pharmacy services. OnPoint BioHealth is not a healthcare provider, does not practice medicine or pharmacy, and does not interfere with the professional judgment of any clinician. Your relationship with any telehealth program is governed by that program's own terms, consents, and notices, which will be presented to you at enrollment. Availability varies by state, and enrollment is subject to clinical eligibility determined solely by the treating clinician.
Optional wellness challenges may offer points, recognition, or prizes. Challenge rules, eligibility, scoring, divisions, and any anti-gaming safeguards are displayed in the app for each challenge. We may adjust scores or disqualify entries that we reasonably determine result from manipulation, fraudulent scans, or violation of challenge rules. Where prizes are offered, any additional official rules presented for that promotion govern, and no purchase is necessary to participate unless expressly stated otherwise in those rules. Rewards have no cash value except where required by law.
You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to access another Member's account or data; (c) probe, scan, or test the vulnerability of our systems or circumvent access controls; (d) interfere with the operation of the Services; (e) scrape, harvest, or copy content or data except as permitted; (f) impersonate any person or misrepresent your affiliation; or (g) upload malicious code. We may investigate violations and cooperate with law enforcement.
The Services, including software, designs, trademarks, text, and content, are owned by OnPoint BioHealth or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the app for your personal, non-commercial use in accordance with these Terms. If you send us ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
The Services may link to or integrate third-party websites, products, and services, including Brand Partners and telehealth programs. We are not responsible for third-party content, policies, or practices, and links do not imply endorsement. Your use of third-party services is at your own risk and subject to their terms.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MEASUREMENTS OR RECOMMENDATIONS WILL ACHIEVE ANY PARTICULAR RESULT.
TO THE FULLEST EXTENT PERMITTED BY LAW, ONPOINT BIOHEALTH AND ITS OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU PAID TO ONPOINT BIOHEALTH IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify and hold harmless OnPoint BioHealth and its officers, employees, and agents from and against claims, damages, and expenses, including reasonable attorneys' fees, arising out of your violation of these Terms, your misuse of the Services, or your violation of any law or third-party right.
[ATTORNEY REVIEW REQUESTED: confirm arbitration approach and provider.] Except for small-claims matters and claims for injunctive relief, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Travis County, Texas or conducted remotely. You and OnPoint BioHealth each waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing support@onpointbiohealth.com with the subject "Arbitration Opt-Out."
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Subject to Section 15, the state and federal courts located in Travis County, Texas will have exclusive jurisdiction.
We may modify these Terms by posting an updated version with a new effective date; material changes will be communicated through the Services. Continued use after changes take effect constitutes acceptance. You may stop using the Services and request account deletion at any time. Sections that by their nature should survive termination, including Sections 10 and 12 through 16, survive.
These Terms, together with the policies they incorporate, are the entire agreement between you and OnPoint BioHealth regarding the Services. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
